Re: €350 million 5.375% senior secured fixed rate notes due 30 November 2022 issued by Safari Holding Verwaltungs GmbH (ISINs XS1713475058 / XS1713474911) (the “Notes”)

Safari Holding Verwaltungs GmbH (the “Issuer”) today announced that it has issued a practice statement letter dated today’s date (the “Practice Statement Letter”) in accordance with the practice statement issued on 26 June 2020 by the Chancellor of the High Court of Justice of England and Wales in relation to a proposed scheme of arrangement under Part 26 of the Companies Act 2006 between the Issuer and the holders of the Notes (the “Scheme”).
The Issuer, its subsidiaries and its direct holding company (together, the “Group”) are seeking to implement a comprehensive refinancing and restructuring of certain of the Group's financial indebtedness as previously announced (the “Restructuring”). The Scheme will facilitate the implementation of the Restructuring.
The Practice Statement Letter is intended to inform the holders of Notes, (the “Noteholders”) as persons affected by the Scheme, of, inter alia, the Issuer’s decision to promote the Scheme, the background to, purpose and effect of the Scheme, important dates (including relevant court hearing dates) in connection with the Scheme and how further enquiries can be made about the Scheme.
The Practice Statement Letter concerns matters which may affect Noteholders’ legal rights and entitlements. Noteholders are entitled to view the Practice Statement Letter in accordance with the instructions below as soon as possible. Noteholders may also wish to take appropriate legal advice on the contents of the Practice Statement Letter.
The Practice Statement Letter is available to all Noteholders on the following website hosted by Lucid Issuer Services Limited (the “Information Agent”): https://deals.lucid-is.com/loewenplay (the “Scheme Website”).
The Scheme Website is password-protected and run by the Information Agent in connection with the Scheme. Any Noteholder wishing to access the Scheme Website will need to register online, and to do so should contact the Information Agent.
Once a Noteholder has registered for access to the Scheme Website, it may view and download from the Scheme Website the Practice Statement Letter and, at a later date which will be separately notified, other documents relating to the Scheme.
