Vallourec S.A. - Lock-Up Agreement

dated 3 February 2021 (the “Agreement”)

1                We refer to the Agreement. This is an Accession Letter. Terms defined in the Agreement have the same meaning in this Accession Letter unless given a different meaning in this Accession Letter.

2               We hereby agree to be bound by the terms of the Agreement as a Participating RCF Lender / RCF Sub-Participant / Noteholder or Participating Crossholder, as applicable

3               Our Locked-Up Debt owned by us is as follows:

The relevant Evidence of Holding is attached hereto.

1                As the case may be, we shall provide an Evidence of Holding without delay to the Company as of the final settlement of any Pending Acquisition, such Pending Acquisition being automatically construed as Locked-Up RCF Debt thereafter for the purposes of the provisions hereof.

2                We hereby represent that we do not hold Debt other than the Debt described above, except Debt held or controlled by one or more of its proprietary trading desk when acting as Qualifying Market-Maker.
